Collection Service Terms
Australian Charities Collection Service Pty Ltd · ABN 54 167 514 936
These terms apply to the free textile collection service ACCS provides to partner charities and organisations. They are a draft and are subject to the final written agreement between you and ACCS.
Key points
- The collection service is free. ACCS does not pay for the goods it collects.
- You appoint ACCS as your only (exclusive) textile collection provider for a fixed term.
- The agreement renews automatically for further 24-month terms unless you give notice in the window in clause 7.
- You can't cancel during a fixed term; notice to end it must reach ACCS 90–120 days before the term ends. ACCS can end it on 30 days' notice.
- Equipment ACCS supplies stays ACCS property; you look after it and return it when the agreement ends.
- Items we don’t accept, and unsafe overfilled bags, may be left behind and remain your responsibility. Each collection is recorded on a collection docket.
1. Definitions
1.1 “Agreement” means this Collection Service Agreement, made up of the sign-up details and these terms.
1.2 “Partner” (“you”) means the charity or organisation named in the Agreement, including anyone the Agreement is assigned to.
1.3 “Services” means ACCS collecting the accepted items listed in the schedule of items from your nominated location(s), as described in the Agreement.
1.4 “ACCS” (“we”, “us”) means Australian Charities Collection Service Pty Ltd (ABN 54 167 514 936), the supplier of the Services.
1.5 “Term” means the fixed term set out in the Agreement and any renewal period.
2. The service and the term
2.1 You appoint ACCS as your exclusive provider of the Services from the start date in the Agreement for the Term.
2.2 The Agreement renews automatically, again and again, for further fixed terms of 24 months unless written notice of termination is given strictly in line with clause 7 and acknowledged by ACCS.
2.3 We collect at a frequency that suits both of us. We may change the frequency depending on how much stock is available for collection and/or how far you are from our nearest state office.
2.4 If your address changes, we may choose to continue the Agreement and, if we agree, provide the Services at your new address.
2.5 The Services are free of charge. ACCS does not charge you for the Services and does not pay you for any items collected.
3. Equipment
3.1 Where agreed, we supply all equipment and labour needed to provide the Services.
3.2 When the Agreement ends (whoever ends it), you must immediately return all equipment we supplied that is in your possession or control.
3.3 All equipment we supply remains ACCS’s sole and exclusive property at all times.
3.4 You must keep our equipment safe. You are solely responsible for any costs we incur repairing damage to it or replacing equipment that is lost or not returned.
3.5 Clause 3.4 applies even if the Services are provided outside your trading hours or items are left at another nominated location.
4. Accepted items
4.1 Please only put accepted items (see the schedule of items) in bags or bales for collection.
4.2 We may exclude from the collection docket items that are not accepted and unspecified materials. Items that are not accepted include, but are not limited to: wet, damp, stained, smelly or mouldy items; pillows, doonas and quilts; books; graded, seconds or pre-sorted product; bric-a-brac; glass; hard toys; plastics; and any other item ACCS considers non-compliant.
4.3 We may leave behind at your site any items that are not accepted, and any overfilled bag we consider unsafe to lift by hand. Items left behind remain your responsibility, including their storage, removal and disposal.
5. Collection dockets
5.1 We complete a collection docket (receipt) at each collection as a record of what was collected. It is a record of the collection only.
5.2 If no one is available to sign for and receive the docket on your behalf, we may leave it at your premises, and it will be treated as an accurate record of the collection.
6. Access and storage
6.1 You must keep clear access for our vehicles to the closest point to where the bags or bales are stored, with enough room to collect them by trolley or other mechanical aid, or by hand.
6.2 You must set aside and maintain enough storage space for bags and bales so we can collect them.
7. Changes and cancellation
7.1 Any change to the service under the Agreement must be agreed by both of us in writing.
7.2 You cannot cancel the Agreement during a fixed term. To end it at the end of a fixed term, your notice only takes effect if ACCS receives it no more than 120 days and no less than 90 days before that term expires.
7.3 ACCS may end the Agreement for any reason by giving you 30 days’ written notice.
8. Default
8.1 If either party does not meet its obligations under the Agreement, the other party (as long as it is not also in default) may end the Agreement if the default has not been fixed 21 days after written notice is given.
9. Release and indemnity
9.1 You fully release ACCS from, and indemnify ACCS against, any loss, cost, injury or damage you suffer because of anything ACCS or its employees do or fail to do in providing the Services.
10. Confidentiality
10.1 You and ACCS each agree that the terms of the Agreement are confidential and will not discuss them with any third party other than legal or financial advisers.
11. General
11.1 ACCS may assign its responsibilities under the Agreement to a contractor or other third party.
11.2 The Agreement is governed by the laws of Victoria, Australia, and the courts of Victoria have jurisdiction.
12. Insurance
12.1 ACCS will hold public liability insurance of AUD $10,000,000 for as long as the Agreement continues.
12.2 ACCS will hold at least the statutory WorkCover insurance for its employees, and compulsory third-party (or comprehensive) motor vehicle insurance for every vehicle it owns or leases and uses to provide the Services.
